1. About us, and about these Terms Prosperity School is operated by Prosperity Group FZCO, a company registered in the United Arab Emirates at IFZA, Business Park, Dubai Silicon Oasis, Dubai, UAE, Licence No. 33208-001 DDP ("Prosperity," "we," "us," or "our").
These Terms of Service ("Terms") govern your access to and use of our website, our courses and educational content, our trading indicators and software, our community spaces, our live trading sessions, and everything else we make available (together, the "Service"). They also cover OrthosLabs, which is operated by the same company.
By buying from us, creating an account, or using any part of the Service, you agree to these Terms, and to our Privacy Policy, Return Policy, Cookie Policy, and End User Licence Agreement ("EULA").
If you do not agree, do not use the Service.
2. Which document controls We publish several documents. If they ever conflict, this is the order that applies:
The Return Policy governs refunds, cancellations, and billing disputes. The EULA governs what you may and may not do with our content, indicators, and software. The Privacy Policy governs personal data. These Terms govern everything else, and control on any point the documents above do not specifically address. Together these form the entire agreement between you and us, and replace any earlier version or any other statement made about the Service.
3. You must be 18 or over The Service is for adults aged 18 and over. By using it you confirm that you are at least 18 and have the legal capacity to enter into this agreement. There is no exception for minors with parental consent.
If we discover that a user is under 18, we will close the account and cancel access.
4. Risk disclosure — please read this This section is important. If you read nothing else here, read this.
We provide education and tools. We do not provide financial advice. Nothing we publish, sell, teach, or say — in a course, an indicator, a live session, a community post, an email, or anywhere else — is financial, investment, tax, or legal advice, and none of it is a recommendation to enter, exit, or hold any position or to buy or sell any instrument.
We are not a licensed financial adviser, broker, dealer, or fund manager, and we are not regulated as one. We do not manage money, we do not trade on your behalf, and we do not have a client or advisory relationship with you.
Trading involves substantial risk of loss. Trading leveraged instruments, derivatives, and foreign exchange can result in losses that exceed your deposit. Most people who trade lose money. You should never trade with money you cannot afford to lose.
Our indicators are analytical tools, not trade signals. They display and interpret market structure. They do not predict future price movement, and an indication produced by any of our tools is not a recommendation to take a trade.
Past performance means nothing about future results. Any result, chart, backtest, screenshot, statement, or example we show — whether ours, a team member's, or a student's — is historical, is not typical, is not audited, and is not a promise or projection of what you will achieve.
We do not guarantee any outcome. We make no promise about profit, income, returns, or success of any kind. What you get out of our material depends on factors entirely outside our control, including your own decisions, capital, discipline, risk management, and market conditions.
Every decision you make in the market is yours alone. You are solely responsible for your own trading, for your own risk management, and for the consequences of both. Take independent, licensed professional advice before you risk any capital.
5. What we provide Depending on what you buy, the Service may include:
Trading indicators and software. Access is granted to your TradingView account. You are responsible for having a TradingView account capable of receiving that access. Courses and educational content, delivered online. Community access, hosted on third-party platforms. Live Trading Floor — live trading sessions and access to their recordings, available on a subscription basis while your subscription is active. We may change, improve, suspend, or discontinue any part of the Service. If we permanently discontinue something you have paid for and are still entitled to, we will either provide a reasonable equivalent or refund you fairly for what you have lost, notwithstanding anything in the Return Policy.
Live sessions. Live session times, frequency, and hosts may change, and individual sessions may be rescheduled or cancelled. We will make recordings available where we reasonably can, but we do not guarantee that any particular session will run live, be recorded, or remain available.
6. Your account and your access You must give accurate registration information and keep it current. You are responsible for keeping your login credentials secure and for everything done through your account.
Your access is personal to you. You may not share, sell, lend, or transfer your account, your login details, your indicator access, or your community access to anyone else. This includes sharing a TradingView account through which indicator access has been granted.
You may not create multiple accounts to obtain access you have not paid for, use a false identity, or evade a suspension.
Tell us immediately at support@prosperityschool.com if you believe your account has been compromised.
7. Prices, payment, and purchases Prices are shown at checkout in US Dollars and are exclusive of any taxes unless we say otherwise. You are responsible for any taxes, duties, bank charges, or currency conversion costs that apply to you.
Payment is taken by our payment providers, not by us directly. Those providers may change over time. Your purchase is also subject to the provider's own terms.
Where financing is offered at checkout by a third party, that is a separate agreement between you and the financing provider. We are paid in full up front; your obligation to repay the financer is unaffected by anything in your relationship with us, including a cancellation.
We may correct pricing errors and decline or cancel an order where a price was displayed incorrectly, where we suspect fraud, or where a payment fails.
8. Subscriptions Some products, including Live Trading Floor, are sold as recurring subscriptions.
Automatic renewal. Your subscription renews automatically at the end of each billing period — every 30 days on a monthly plan, or every 12 months on an annual plan — and you will be charged the then-current price for that plan, until you cancel. By subscribing, you authorise us and our payment providers to charge you on each renewal.
Cancelling. You can cancel at any time through your account with the relevant payment provider, or by emailing support@prosperityschool.com. Cancel before your next renewal date to avoid being charged for the following period.
What happens when you cancel. Your access continues until the end of the period you have already paid for, and then stops. You are not charged again. Cancelling does not refund the current period — see the Return Policy for when a refund is available.
When access ends, so does your access to live sessions and to session recordings.
Price changes. We may change subscription prices. If we do, we will give you at least 30 days' notice by email before the new price applies to you, and the new price takes effect at your next renewal. If you do not want to pay it, cancel before that renewal.
Failed payments. If a renewal payment fails, we may suspend your access until payment succeeds, and may retry the payment. If it keeps failing, we may cancel the subscription.
9. Refunds Refunds are governed by our Return Policy, which forms part of these Terms.
Chargebacks. If you have a problem with a charge, contact us first — we will deal with it. If you raise a chargeback or payment dispute without contacting us and it is not upheld, or where it relates to a charge you did in fact authorise, we may suspend or terminate your access to everything you hold with us, including access granted on TradingView, and recover any fees we incur.
10. Your licence, and what you may not do Your right to use our content, indicators, and software is a limited, personal, non-exclusive, non-transferable, revocable licence, set out in full in the EULA. Everything we produce remains our property.
Without limiting the EULA, you may not:
Copy, record, screen-capture, stream, re-transmit, or redistribute any course content or any live session Share, resell, sublicence, or publish our content, indicators, or software Reverse-engineer, decompile, or attempt to derive the source of our indicators Use our material to build, market, or operate a competing product or service Share your access with anyone, or use automated tools to extract content Remove or obscure any ownership or copyright notice 11. Community and live session conduct Where you take part in a community space or a live session, you must not harass, abuse, threaten, defame, or discriminate against anyone; post anything illegal, misleading, or someone else's without the right to; spam, solicit, or promote your own or anyone else's products; give financial advice to other members or hold yourself out as authorised to; share other members' private information; or disrupt a live session.
We may remove content and suspend or remove members who breach these rules. We are not obliged to monitor community spaces, and we are not responsible for what other members say — including any trading opinion, claim, or result they post. Other members are not our representatives.
Live sessions are recorded, and recordings are made available to members. If you speak, appear on camera, or post in chat, that will form part of the recording. If you do not want to appear, attend with your camera and microphone off and do not post in chat.
12. Content you post, and feedback You keep ownership of what you post. By posting in a community space or sending us content, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, and display it for the purpose of operating the Service.
Testimonials and results. If you want us to use your comments, results, or likeness in marketing, we will ask you separately, and you can decline or withdraw at any time.
If you send us suggestions or feedback about the Service, we may use them freely and without obligation or payment to you.
If you believe something on the Service infringes your rights, email support@prosperityschool.com identifying the material, where it is, your rights in it, and your contact details. We will investigate and remove infringing material where appropriate.
13. Suspension and termination We may suspend or terminate your access if you breach these Terms or the EULA, share or resell your access, raise an unfounded chargeback, behave illegally or abusively, or create a security or legal risk. Where it is reasonable to do so we will tell you first, but we may act immediately where the breach is serious.
Where we terminate for breach, you are not entitled to a refund of anything already paid.
You may stop using the Service at any time. If you have a subscription, cancel it as described in §8.
When access ends — however it ends — your licence ends with it. We may revoke access we have granted, including indicator access on TradingView, and you must stop using and delete any material you still hold.
14. Disclaimers The Service is provided "as is" and "as available." To the fullest extent the law allows, we exclude all warranties, whether express, implied, or statutory, including fitness for a particular purpose, merchantability, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, error-free, or secure, that any content is accurate or complete, or that any indicator will function without fault.
We are not responsible for third-party platforms we rely on to deliver the Service — including TradingView, our community platform, and our payment providers. Their availability, terms, and decisions are outside our control, and losing access to one of them for reasons outside our control is not a breach by us.
Nothing in these Terms excludes any liability that cannot lawfully be excluded, or any right you have under mandatory consumer protection law in your own country.
15. Limitation of liability To the fullest extent the law allows:
We are not liable for any trading loss. This includes losses arising from any decision you make using our education, indicators, live sessions, or anything else we provide. This is the core of our agreement — our pricing reflects that we take no market risk on your behalf.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunity, lost data, or business interruption.
Our total liability to you for all claims connected with the Service is limited to the greater of (a) the total amount you paid us for the Service in the 12 months before the claim arose, and (b) USD 100.
16. Indemnity You agree to indemnify and hold harmless Prosperity Group FZCO, its officers, employees, and contractors against any claim, loss, liability, or cost (including reasonable legal fees) arising from your breach of these Terms or the EULA, your misuse of the Service, anything you post, your infringement of anyone else's rights, or your own trading activity.
17. Governing law and disputes These Terms are governed by the laws of the United Arab Emirates.
Talk to us first. Before starting any formal proceeding, email support@prosperityschool.com with a description of the dispute and what you want. Most things resolve here, and we ask you to give us 30 days to try.
If we cannot resolve it, the courts of Dubai, United Arab Emirates have exclusive jurisdiction, and you and we submit to them.
Class action waiver. To the extent permitted by law, any claim must be brought individually and not as part of a class, collective, or representative proceeding.
Nothing here prevents either of us from seeking urgent injunctive relief to protect intellectual property or confidential information in any court of competent jurisdiction.
18. Changes To these Terms. We may update them. The current version is always posted here with its date. Where a change is material we will give at least 30 days' notice by email or prominent website notice before it takes effect. Continuing to use the Service after that means you accept the change; if you do not accept it, stop using the Service and cancel any subscription.
To the Service. See §5.
19. General Assignment. We may transfer these Terms to a successor, for example on a merger or sale of the business. You may not transfer yours without our written consent.
Severability. If any provision is held invalid or unenforceable, it is modified to the minimum extent necessary or removed, and the rest continues in force.
No waiver. If we do not enforce a right, we do not lose it.
Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages at third-party platforms we depend on.
Notices. We will contact you at your registered email address. You agree that electronic communications satisfy any legal requirement that a communication be in writing. Notices to us go to support@prosperityschool.com.
No partnership. Nothing here creates a partnership, employment, agency, or joint venture between us.
Language. These Terms are written in English, and English governs.
