These Terms of Service ("Terms") govern your access to and use of our website, online courses, community features, and related services provided through the Whop marketplace. By accessing, purchasing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, Return Policy, and End User License Agreement (EULA). If you do not agree, please refrain from using the Service. We may update these Terms periodically, and continued use after such changes constitutes your acceptance.
1. Acceptance of Terms By creating an account, enrolling in a course, or engaging with any Service feature, you represent that you are at least 18 years of age (or have obtained parental consent if a minor) and have the legal capacity to enter into this agreement. You must review and accept these Terms, along with our linked policies, at the time of registration or purchase. Any updates to these Terms will be posted on our website with a revised "Last Updated" date, and we encourage you to check regularly. Your continued use following modifications signifies your binding consent.
2. Description of Service Prosperity School offers educational courses, training materials, community access, and support resources via the Whop platform, designed to enhance your skills in trading. Access is granted upon successful payment or subscription, subject to availability, technical capacity, and adherence to these Terms. We reserve the right to modify, suspend, or terminate any part of the Service (including specific courses or features) at our sole discretion, with or without notice, due to maintenance, legal requirements, or business needs. Such changes do not entitle you to refunds unless specified in our Return Policy.
3. User Accounts and Security Registration: To access premium features, you must register with a valid email address and create a secure password via Whop. You agree to provide accurate, current, and complete information during the registration process. Account Responsibility: You are solely responsible for all activities conducted under your account, including unauthorized use. Maintain the confidentiality of your login credentials and notify us immediately at support@prosperityschool.com if you suspect a breach. Prohibited Actions: Creating multiple accounts, using false identities, or transferring accounts without permission is forbidden and may result in termination. Account Termination: We may suspend or delete accounts for 12 months of inactivity or violation of these Terms, with notice where feasible.
4. Payment Terms and Subscriptions Fees: All prices for courses, subscriptions, or add-ons are displayed during checkout on Whop and are in US Dollars, exclusive of taxes unless stated. Fees are non-refundable except as outlined in our Return Policy. Billing: Subscriptions auto-renew at the end of each billing cycle (e.g., monthly, annually) unless canceled through Whop’s account management tools at least 24 hours prior. Payment methods are processed via Whop’s secure system. Price Changes: We may adjust pricing with 30 days’ notice to active subscribers via email or website announcement. New rates apply at renewal unless you cancel. Disputes: Contact support@prosperityschool.com for billing issues within 30 days; unresolved disputes may be escalated to Whop support.
5. Intellectual Property Rights Ownership: All course content, videos, documents, trademarks (e.g., "Prosperity School"), and software are owned by Prosperity Group FZCO or licensed to us. This includes materials delivered via Whop or our website. Usage Rights: You are granted a non-exclusive, non-transferable, revocable license to access and use content for personal, non-commercial educational purposes only. This does not permit reproduction, distribution, modification, or public display without written consent. Restrictions: Sharing login details, recording courses, or extracting content for resale is strictly prohibited and constitutes a violation of these Terms and UAE Federal Decree-Law No. 38/2021 on Copyright and Neighboring Rights. Such infringement may result in immediate account termination, legal action, and, where determined by a UAE court or the Dubai International Financial Centre (DIFC) Courts, statutory damages or penalties as permitted under UAE law for willful violations. Feedback: Suggestions or feedback you provide become our property to use without compensation.
6. User Conduct and Community Guidelines Acceptable Use: Use the Service lawfully, respectfully, and for its intended educational purpose. Engage with the community (e.g., forums, chats) to support learning, not disrupt it. Prohibited Conduct: This includes, but is not limited to, harassment, defamation, spamming, uploading viruses, attempting to hack Whop or our systems, or posting illegal content. Moderation: We may monitor interactions, remove violating content, or suspend accounts without liability. You waive any privacy claims related to such monitoring. Reporting: Flag inappropriate Behaviour to support@prosperityschool.com and we’ll investigate within 5 business days.
7. Limitation of Liability and Disclaimers As-Is Basis: The Service is provided "as is" and "as available," with no warranties—express, implied, or statutory—beyond what’s legally mandated, including merchantability or fitness for a particular purpose. Liability Cap: To the maximum extent permitted by law, our total liability for any claims (e.g., service outages, content errors) shall not exceed the amount you paid us in the prior 12 months. We are not liable for indirect damages, including lost profits, data loss, or business interruption. Third-Party Content: Links or materials from third parties (e.g., Whop integrations) are not endorsed by us, and we assume no responsibility for their accuracy or legality. We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, Whop downtime).
8. Termination and Suspension By Us: We may terminate or suspend your access immediately if you breach these Terms, engage in illegal activity, or pose a risk to the Service. Notice will be provided where practicable (e.g., email). By You: You may cancel your account or subscription via Whop, but prior obligations (e.g., unpaid fees) remain enforceable. Post-Termination: Upon termination, your license to use the Service ends, and access to content (e.g., courses) may be revoked. Downloaded materials must be deleted. Survival: Clauses on Intellectual Property, Liability, and Governing Law survive termination.
9. Governing Law and Dispute Resolution Jurisdiction: These Terms are governed by the laws of the United Arab Emirates (UAE), with specific application to the Dubai International Financial Centre (DIFC) laws where applicable, without regard to conflict of law principles. Arbitration: Any disputes arising from or related to these Terms will be resolved through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in Dubai, UAE, under its Arbitration Rules. Each party shall bear its own costs, with arbitration fees split equally unless otherwise awarded by the arbitrator. The arbitration shall be conducted in English. Class Action Waiver: You agree to waive any right to participate in a class action, collective action, or representative proceeding related to the Service. All claims must be brought in your individual capacity, and any award shall be limited to individual relief. Exceptions: Either party may seek injunctive relief or other equitable remedies in the DIFC Courts or UAE federal courts for intellectual property violations or to enforce the arbitration agreement.
10. Miscellaneous Provisions Entire Agreement: These Terms, with linked policies, form the complete agreement between you and Prosperity Group FZCO, superseding prior versions or communications. Sever ability: If any provision is found invalid or unenforceable, the remaining terms remain in effect. Assignment: We may assign these Terms to a successor entity (e.g., during a merger) without your consent; you may not assign your rights. 11. Compliance with Laws You agree to comply with all applicable laws and regulations when using the Service, including but not limited to the United Arab Emirates (UAE) Federal Decree-Law No. 45/2021 on the Protection of Personal Data, Dubai International Financial Centre (DIFC) Data Protection Law (DIFC Law No. 5/2020), and any relevant international trade or export restrictions where the Service is accessed. We reserve the right to restrict or terminate access from any jurisdiction where the content, services, or your use may violate local laws or regulations. Violations of this clause, including unauthorized data handling or illegal activities, may result in immediate account termination and our cooperation with appropriate law enforcement authorities, including those in the UAE or internationally as required.
12. Electronic Communications By using the Service, you consent to receive electronic communications (e.g., emails, Whop notifications) regarding transactions, updates, or legal notices. You agree these satisfy any legal requirement for written communication. Acknowledgment
