Prosperity School End User License Agreement (EULA)
Welcome to Prosperity School, operated by Prosperity Group FZCO ("we," "us," or "our"). This End User License Agreement ("EULA") governs your use of the software, digital content, online courses, and related features (collectively, the "Licensed Software") provided through our platform at https://www.prosperityschool.com and the Whop marketplace.
This EULA, alongside our Terms of Service, Privacy Policy, and Return Policy, forms a legally binding agreement. By installing, accessing, or using the Licensed Software or program, you agree to these terms. If you do not agree, you must immediately cease use and uninstall any downloaded components.
1. Grant of License
License Scope: Prosperity Group FZCO grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Software solely for personal, non-commercial educational purposes as intended. This includes accessing course materials, videos, and community features (e.g., Skool) via Whop, subject to availability and payment.
Installation Limits: The program may be accessed online or, where downloadable, installed on a single device per user account. Multi-device use or sharing access requires separate licenses, purchasable via Whop.
Duration: The license is valid only during your active subscription or course access period, terminating upon expiration, cancellation, or breach.
No Sublicense: You may not sublicense, rent, lease, loan, or otherwise transfer the Licensed Software to any third party.
2. Intellectual Property Ownership
Ownership: All Licensed Software, including source code, object code, course content, videos, documents, trademarks (e.g., "Prosperity School"), and associated intellectual property, is owned exclusively by Prosperity Group FZCO or licensed to us. This is protected under UAE Federal Decree-Law No. 38/2021 on Copyright and Neighboring Rights and international treaties.
No Transfer: This EULA conveys no ownership rights; you receive only the limited use rights specified herein. Any rights not expressly granted are reserved by us.
3. License Restrictions
Prohibited Actions: You are expressly prohibited from: (a) copying, modifying, adapting, translating, reverse-engineering, decompiling, disassembling, or creating derivative works of the Licensed Software; (b) removing, altering, or obscuring copyright, trademark, or proprietary notices; (c) distributing, selling, reselling, or commercially exploiting the Licensed Software or its content; (d) sharing login credentials or access with others, including via third-party platforms; (e) using automated tools (e.g., bots, scrapers) to access or extract content; or (f) circumventing technical protections (e.g., encryption, access controls).
Violations: Any breach of these restrictions constitutes a violation of this EULA and UAE copyright law, potentially resulting in immediate account termination, legal action, and damages or penalties as awarded by a UAE court or DIFC Courts for willful infringement.
Monitoring: We may monitor usage to enforce compliance, and you waive any privacy claims related to such monitoring.
4. User Responsibilities
Compliance: You must use the Licensed Software under this EULA, UAE laws (including Federal Decree-Law No. 45/2021 on Data Protection), DIFC regulations, and any applicable export controls where accessed.
Technical Requirements: You are responsible for maintaining compatible devices, software, and internet access. We are not liable for performance issues due to your equipment, network, or third-party platforms (e.g., Whop, Skool).
Updates: You agree to install all updates, patches, or new versions of the Licensed Software as released to ensure security, compatibility, and functionality. Failure to update may result in loss of access.
Misuse: You indemnify us against claims arising from your unauthorized use or distribution of the Licensed Software.
5. Termination of License
By Us: We may terminate or suspend your license immediately, with or without notice, if you breach this EULA, the Terms of Service, engage in illegal activity, or pose a security risk. Termination notice will be sent to your registered email, where feasible.
By You: You may uninstall or cease using the Licensed Software at any time, but all obligations (e.g., payment arrears) remain enforceable.
Effect of Termination: Upon termination, your right to use the Licensed Software ceases, and you must immediately delete all copies, including downloaded files. Failure to comply may lead to further legal action.
Survival: Provisions on Intellectual Property, Liability, Indemnification, and Governing Law survive termination.
6. Fees and Payment
License Fees: Access to the Licensed Software requires payment of fees as specified during Whop checkout, non-refundable except as per our Return Policy.
Subscriptions: Auto-renewing subscriptions continue unless canceled via Whop at least 24 hours prior to the billing cycle end. Non-payment suspends access until resolved.
Late Payment: Overdue amounts incur a late fee of 1.5% per month or the maximum allowed by UAE law, and we may report to credit agencies.
Tax Responsibility: You are responsible for any applicable taxes unless included in the displayed price.
7. Limitation of Liability
As-Is Basis: The Licensed Software is provided "as is" and "as available," with no warranties—express, implied, or statutory—beyond those mandated by UAE law, including merchantability, fitness for purpose, or non-infringement.
Liability Cap: Our total liability for any claims (e.g., software defects, content inaccuracies, access delays) shall not exceed the amount you paid for the Licensed Software in the prior 12 months. We are not liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits, data loss, business interruption) to the fullest extent permitted by UAE law.
Third-Party Liability: We are not responsible for issues caused by Whop, Skool, or other integrated services; their terms apply.
8. Disclaimer of Warranties
We do not guarantee uninterrupted, error-free, or secure operation of the Licensed Software. Delays (e.g., Skool invite lags due to automation fixes) or outages may occur, and we are not liable unless due to gross negligence.
The Licensed Software is for educational use only; no specific outcomes (e.g., career success) are promised or warranted.
9. Indemnification
You agree to indemnify, defend, and hold harmless Prosperity Group FZCO, its officers, and affiliates from any claims, losses, or damages (including legal fees) arising from your breach of this EULA, unauthorized use, or violation of third-party rights.

10. Governing Law and Dispute Resolution
Jurisdiction: This EULA is governed by the laws of the United Arab Emirates (UAE), with specific application to the Dubai International Financial Centre (DIFC) laws where applicable, excluding conflict of law principles.
Arbitration: All disputes will be resolved through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in Dubai, UAE, under its Arbitration Rules. The arbitration will be conducted in English, with each party bearing its own costs and fees split equally unless the arbitrator decides otherwise. The arbitrator’s decision is final and enforceable in UAE courts.
Class Action Waiver: You waive any right to participate in a class action, collective action, or representative proceeding. All claims must be brought individually, and any award is limited to individual relief.
Exceptions: Either party may seek injunctive relief or specific performance in the DIFC Courts or UAE federal courts to enforce intellectual property rights or this EULA.
11. Miscellaneous
Entire Agreement: This EULA, with linked policies, constitutes the entire agreement, superseding all prior versions or communications.
Severability: If any provision is deemed invalid or unenforceable by a UAE court or DIFC Courts, the remaining terms remain in full force.
Assignment: We may assign this EULA to a successor entity (e.g., during a merger) without your consent; you may not assign your rights without our written approval.
No Waiver: Our failure to enforce any provision does not waive our right to do so later.
Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, Whop outages).

Acknowledgment
By using the Licensed Software, you confirm you have read, understood, and agreed to this EULA, effective July 19, 2025. This agreement safeguards your access while protecting Prosperity School.
