1. What this covers This End User Licence Agreement ("EULA") is between you and Prosperity Group FZCO, IFZA, Business Park, Dubai Silicon Oasis, Dubai, UAE, Licence No. 33208-001 DDP ("Prosperity," "we," "us," or "our"). It also covers products we sell under the OrthosLabs brand.
It sets out what you may and may not do with what we license to you. It works alongside our Terms of Service, Privacy Policy, Return Policy, and Cookie Policy. Where this EULA and the Terms of Service conflict on a licensing question, this EULA controls; on everything else, the Terms of Service control.
By buying, accessing, or using any of the Licensed Material, you agree to this EULA.
2. What is licensed "Licensed Material" means everything we make available to you, which falls into three categories. The category matters, because the licence terms differ.
(a) Indicators and software. Our trading indicators and any other software we provide, including the SMC Engine suite. These are made available by granting access to your TradingView account. Nothing is downloaded, installed, or transferred to you — access is provisioned inside a third-party platform and remains under our control.
(b) Courses and educational content. Videos, written material, workbooks, templates, and other content forming part of a course or programme.
(c) Live sessions and session recordings. Live Trading Floor sessions, and the recordings of those sessions, available while a subscription is active.
3. Your licence Subject to your paying for it and complying with this EULA, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Licensed Material for your own personal, non-commercial education and your own trading.
You get no other rights. We reserve everything not expressly granted.
3.1 How long the licence lasts This depends on what you bought.
Products bought outright (indicators, courses). Where you have made a one-time purchase, your licence continues for as long as we continue to offer that product and you comply with this EULA — there is no expiry date and no ongoing payment.
Where a product has been described as "lifetime access," that means the lifetime of the product, not of any person: we will keep it available to you for as long as we reasonably can. It does not mean the licence is irrevocable. We may still end it if you breach this EULA, if your purchase is refunded or charged back, or if we retire the product entirely — and where we retire a product you paid for outright, we will give you reasonable notice and, where fair, an equivalent or a refund.
We may also need to stop providing indicator access if TradingView ceases to support the mechanism we use, changes its terms, or removes our ability to grant access. That is outside our control and is not a breach by us, though we will do what we reasonably can to provide an alternative.
Subscription products (Live Trading Floor). Your licence lasts only while your subscription is active. It ends at the end of the period you have paid for, when you cancel, or when payment fails and is not resolved.
When a subscription ends, your access to live sessions and to all session recordings ends with it. You do not keep recordings, and you have no right to retain, download, or continue using them.
3.2 The licence is personal The licence is for you alone. You may not share, sell, lend, rent, lease, sublicence, assign, or transfer it, or your access, to anyone else.
This specifically includes sharing the TradingView account to which indicator access has been granted. Access is granted per person, not per account — allowing anyone else to use a TradingView account holding our indicators is a breach of this EULA.
4. What you may not do You may not:
(a) Copy, reproduce, modify, adapt, translate, or create derivative works from the Licensed Material.
(b) Reverse-engineer, decompile, disassemble, or attempt to derive, extract, or reconstruct the source code, logic, formulae, or methodology of any indicator or software. This applies whether or not the platform makes the code visible to you.
(c) Record, screen-capture, screen-share, film, stream, re-transmit, or otherwise capture any live session or any course content — in whole or in part, by any means, for any purpose, including for your own private use.
(d) Distribute, publish, upload, post, sell, resell, rent, or commercially exploit any Licensed Material, or any recording or capture of it.
(e) Share your login credentials, indicator access, community access, or session links with anyone, or allow anyone else to use your access.
(f) Use the Licensed Material to build, train, market, or operate any competing or derivative product or service, including using it as training data for any machine learning or AI system.
(g) Use bots, scrapers, or other automated means to access, extract, or download content.
(h) Circumvent, disable, or interfere with any access control, licence check, or technical protection.
(i) Remove, alter, or obscure any copyright, trademark, watermark, or ownership notice.
(j) Represent our material as your own, or teach, resell, or repackage it as your own training, signal service, or course.
5. Ownership All Licensed Material — including source code, indicator logic, video, written content, recordings, designs, and the "Prosperity School," "SMC Engine," and "OrthosLabs" names and marks — is owned by us or licensed to us, and is protected under UAE Federal Decree-Law No. 38 of 2021 on Copyright and Neighbouring Rights and international treaties.
This EULA licenses; it does not sell. You acquire no ownership.
6. Our right to revoke access We may suspend or revoke your access to any or all Licensed Material, including removing indicator access from your TradingView account, where:
you breach this EULA or the Terms of Service; you share, resell, or attempt to transfer your access; your purchase is refunded — access is revoked on refund, in full, at the point the refund is issued; you raise a chargeback or payment dispute, whether or not it is upheld; a subscription ends, is cancelled, or payment fails and is not resolved; we are required to by law, or by a platform we depend on. Where we revoke for breach, you are not entitled to any refund.
We will tell you at your registered email address where it is reasonable to do so, but we may act immediately where the breach is serious or ongoing.
7. Updates and changes We may update, improve, or change indicators and content at any time, including fixing faults and adding or removing features. Updates are applied by us on the delivery platform — there is nothing for you to install.
We may retire a product or a feature. Where you paid for it outright, §3.1 applies.
8. Educational purpose only — and trading risk The Licensed Material is educational. It is not financial, investment, tax, or legal advice, and it is not a recommendation to take any position or trade any instrument.
Our indicators are analytical tools. They display and interpret market structure — they do not predict price and they do not produce trade signals or recommendations. Any output is information for you to interpret, not instruction to act.
Trading involves substantial risk of loss, and most people who trade lose money. We are not a licensed financial adviser, broker, or dealer. We do not guarantee any result, and any past result shown is historical, not typical, and not a projection.
Every trading decision you make is yours alone, and you bear the full consequences of it. The full risk disclosure is in §4 of our Terms of Service and applies to everything licensed here.
9. No warranty The Licensed Material is provided "as is" and "as available." To the fullest extent permitted by law we exclude all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that any indicator is free from defects, that it will calculate correctly in all market conditions, that content is accurate or complete, or that access will be uninterrupted.
We are not responsible for third-party platforms — including TradingView, our community platform, and our payment providers — or for their outages, changes, or decisions.
Nothing here excludes any liability or right that cannot lawfully be excluded, including under mandatory consumer protection law in your own country.
10. Liability To the fullest extent permitted by law:
We are not liable for any trading loss, or for any loss arising from a decision you took using the Licensed Material — including where an indicator was faulty, delayed, mis-calculated, or unavailable.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunity, lost data, or business interruption.
Our total liability for all claims connected with the Licensed Material is limited to the greater of (a) the amount you paid us for the relevant product in the 12 months before the claim arose, and (b) USD 100.
11. Indemnity You agree to indemnify, defend, and hold harmless Prosperity Group FZCO, its officers, employees, and contractors from any claim, loss, liability, or cost (including reasonable legal fees) arising from your breach of this EULA, your unauthorised use or distribution of the Licensed Material, your infringement of any third-party right, or your own trading activity.
12. Termination This EULA applies for as long as you hold any licence from us.
You may end it at any time by ceasing use — and, for subscriptions, by cancelling as described in the Terms of Service.
We may end it as described in §6.
On termination, all licences granted to you end immediately. You must stop using the Licensed Material and delete any copies, notes, exports, or recordings you hold, and we may revoke any access we have granted.
13. General Governing law. This EULA is governed by the laws of the United Arab Emirates. Disputes are handled as set out in §17 of the Terms of Service, including the requirement to contact us first, and the exclusive jurisdiction of the courts of Dubai.
Enforcement. Because unauthorised copying or distribution of our material causes harm that money alone cannot fix, we may seek injunctive relief in addition to any other remedy.
Monitoring. We may check whether access is being shared or used in breach of this EULA — for example by reviewing access logs and platform records. We do this in accordance with our Privacy Policy, which sets out your data protection rights. Nothing in this EULA waives those rights.
Assignment. We may assign this EULA to a successor. You may not.
Severability. If a provision is invalid or unenforceable it is modified to the minimum extent necessary, or removed, and the rest stands.
No waiver. Failure to enforce a provision is not a waiver of it.
Changes. We may update this EULA. Material changes come with at least 30 days' notice by email or website notice. Continued use after that means acceptance.
